NOW THEREFORE, for and in considerati
on of the mutual covenants herein expressed and other lawful and valuable
consideration,thepartiesheretoagreeasfollows:
1. DEFINITIONS
1.1 Applicant.ThetermApplicantshallmeanthecompanywhosubmittedtheproducttoIntertekforevaluationand
certificationandownsrightstoListingReports.
1.2 Manufacturer.ThetermManufacturershallmeanthecompanywhocarriesoutorcontrolscertainstagesinthe
manufacture,assessment,handling,andstorageofaproductth
atenablesittoacce
ptresponsibilityforcontinued
complianceoftheproductwiththerelevantrequirementsandundertakesallobligationstoapplythecertification
labels.
1.3 Company.ThetermCompanyshallmeanbothApplicantand/orManufacturer.
1.4 AuthorizationtoMark.ThetermAuthorizationtoMark(ATM)shallmeanawrittendocumentfromIntertekthat
authorizestheMan
ufacturertoapplyanIn
tertekcertificationmarktoaspecificproduct.
1.5 CertificationMark. ThetermCertificationMark (Mark)shall refertoany commonlaw or registrationtrademark
ownedbyIntertek,oritsaffiliates,usedinthecertificationofaproduct.
1.6 Labeling.Theterm Labelingshall refertoth
eprocess ofapplyi
ngtheMark totheProduct,whether theMarkis
appliedtotheProductbyaseparablelabel,directlyontheproduct,orbyothermediaasauthorizedbyIntertek.
1.7 MultipleListee.TheMultipleListee(ML)isathird‐partycompanywhoselabelisappliedtoaProduct.Th

1.8 MultipleListeeRequest.The Applicant andMultiple Listeeestablish anew multiplelisting relationship,or; add,

1.10 Listing.ThetermListingshallmeantheprocessofpreparingandincludingtheProductinthepublisheddirectoryof
Intertekcertifi
edprodu
cts.
1.11 ListingReport.ThetermListingreportshallmeanthedocumentpreparedbyIntertek,alsoknownasConstructional
DataReport(CDR),whichidentifiestheCompany,theProduct,therequirementsspecificfortheProduct,including
butnotlimitedto,identificationofstandard(s),testprotocolsandthetypean
dformaMark whic
hmustbeused
onorinconnectionwiththeProductandrelatedinformation.
TheseService Terms andConditions shallgovern MultipleListing, Recognition,Classification andVerification Services
(“ML”) performed by Intertek and set out the responsibilities and obligation of the Client.These Service Terms and
conditionsareincorporatedbyreferenceintoandareanintegralpartoftheCertificationAgreement(“Agreement”)the
capitalizedtermsintheseServiceTermsandConditionsshallhavethesamemeaningastheagreement.
Thisformdoesnotautho rizetheMultipleListeetoapplytheCertificationMarktoanyproduct.OnlytheApplicantortheApplicant’smanufactureras

1.12 Product.ThetermProduct(BasicProduct)shallmeananApplicant’sdevice,equipment,material,orsystemthat
has been submitted for testing or evaluation, and found to be in compliance with Intertek Requirements and
approvedforListing.
1.13 Requirements.Intertekrequirementsincluding,withoutlimitation,theapplicableStandardandIntertekprocedure
usedbyIn
tertektoassessaproduc
t.
2. MULTIPLELISTINGREGISTRATIONFORM
2.1 MultipleListeeRegistrationForm.IntertekreservestherighttoacceptorrejectaMultipleListeeRegistrationForm
andanyMultipleListeeRequestsoutsidethescopeofthisAgreement.
2.2 MultipleListeeTermination.TheMultipleListeeortheApplicantmayterminatetheMultipleListeerelationshipat
anytimewithorwithoutcau
seuponnotlesstha
nthirty(30)day’swrittennoticetoIntertek.Removalfeesmaybe
applied.
3. PRODUCTREQUIREMENT
3.1 MultipleListeeProducts.Theproduct(s)forwhichtheMultipleListeeProgramisrequestedshallnotdifferfrom
thebasicproduct(s)otherthanincolor,trim,companyidentification,productdesignationorotherfeaturesthat
Intertekdeemstobesuperficial.
3.2 ListingReportWithdrawal.IftheBasicproduct’sIntertekreportiswithdrawnforanyreason,theMultipleListing,
Multiplerecognition,m
ultipleverificationormultipleclass
ificationshallbewithdrawnatthesametimeasthebasic
product’sIntertekreports.
4. MULTIPLELISTINGPROGRAM
4.1 Products.Iftheproduct(s)isfoundtobeeligiblefortheMultipleListeeProgram,Intertekwilladdamultiplelisting,
recognition, classification or verification correlation table to the follow up service procedure covering the basic
product(s)toauthorizethemanufacturerofthebasicproduct(s) tousetheMarkontheprodu
ctandpublishedthe
multiple listing, multip
le recognition, multiple verification or multiple classification in such form, manner and
classification as Intertek may determine, after the Multiple Listee executes the applicable Intertek certification
agreement.
4.2 ProcedureandMultipleListingCorrelationTable.Theprocedureandmultiplelistingcorrelationtablewillidentify
and set fort
h certain requirements for the prod
uct and will specify the Mark which may be used only on or in
connectionwiththeproductinaccordancewiththeProcedureandotherIntertekrequirements.
4.3 Follow‐up Service. Any report indicating acceptability of the product for Multiple Listing, Multiple Recognition,
MultipleVerificationorMulti
pleClassificationisnottobeissuedunlessan
duntilFollow‐upServiceontheproduct
isestablished.
4.4 Communication.Applicantisresponsibleforcommunicatinganychangestothereport,orterminationofthereport
to the Multiple Listee. Intertek’s responsibility for communication will be to the Applicant only as th
ey are the
authorized cert
ification holder. Intertek is prohibited from sharing any confidential information to the Multiple
ListeewithwrittenauthorizationfromtheApplicant.
5. LISTING&LABELING
5.1 OwnershipoftheMark.OwnershipoftheMarkandalltrademarkrightsintheMarkremaininIntertek,evenifit
isusedontheProduct.TheMarkshallonlybeappliedtoaProductthatcomplieswiththeIntertekRequirements
andsuchMarkshallbeappliedasspecifiedinth
eListingReport.TheMarkmay
beappliedonlytothosemodels
andbrandsthatarespecificallynamedintheListingreportatthefactoryreceivingactiveFollow‐upServiceand
asnotedontheAuthorizationtoMark.ExceptasprovidedhereinandasindicatedinArticle3.2oftheCertification
Agreementfo
rApplicantsandMan
ufacturers,anyotheruseoftheMark,ortheIntertekname,ontheProductis
expresslyprohibited.
5.2 UseofNamesandMarks.ParticipationintheMultipleListeeProgramshallnotresultinadistinctProductsafety
certificationoranyauthorizationtousetheMark(s)apartfromtheBasi
cProductautho
rization.Theauthorization
touseanIntertekMarkaspartoftheMultipleListeeProgrammaybewithdrawnbyIntertekifthefileoftheBasic
Productiswithdrawnoriftheclientviolatesanyofthetermsofthisagreement.
5.3 Products not covered under Multiple Lis
ting Program. Except as otherwise expressly aut
horized by Intertek,
Applicantand/or Multiple Listee shallnotuse Intertek’s name,abbreviation,symbols,marksoranyotherformof

referencewhichmaybeinterpretedtomeanIntertekTestingservices,onanygoodsortheircontainersorpackaging,
orinconnectionwithanyoralorwrittenadvertising,promotionorotherwise.
6. INDEMNIFICATIONANDLIABILITY
6.1 Indemnification. Applicant and/or Multiple Listee agrees to hold Intertek harmless and to defend and indemnify
Intertekagainstanyliability,loss,ordamagefromclaims,demands,costs(includinglegalfees),orjudgementsarising
outofanynegligentorintentionalactsoftheCompany,orclaimsfromthirdpartiesrelatingtotheProductorarising
fromtheuseoftheMark.
6.
2 Liability.Inte
rtek will not,under any circumstances, be liable to theApplicant and/or theMultiple Listee for any
indirect,special, punitive, orconsequentialdamages, or anythird partyclaims which mayarise asa result ofthe
services provided in th
is Multiple Listee Agreemen
t. The maximum aggregate liability to Intertek for damages in
connectionwiththisCertificationAgreementshallnotexceedthelatestannualMultipleListeefeepaidtoIntertek
bytheApplicant.
7. FAILURETOCOMPLYWITHINTERTEKREQUIREMENTS
7.1 Remedial Action. In the event that Intertek detects any deviation or variance in the Product from Intertek
Requirements,orimproperorunauthorizeduseoftheMarkorIntertekname,IntertekwillnotifytheApplicantand
requiretheApplicantatitsownexpense,toundertakecorrectiveactiontoensurethattheProductcomplieswith
Intertek Re
quirements. Intertek
reserves the right, in its sole direction, to take additional actions as it deems
necessary,includingbutnotlimitedto:
(a) SuspensionorrevocationoftheListingandtherighttolabeltheProduct;
(b) WithdrawalofthesupplyofthelabelsandremovaloftheMarkfromanynon‐conformi
ngorunauth
orized
products;
(c) RemovaloftheProductfromthepublisheddirectoryofIntertekcertifiedproducts;
(d) TerminationoftheApplicant’sCertificationAgreementpursuanttoArticle6intheCertificationagreement
forApplicantsandManufacturers.
(e) TerminationofMultipleListeeAgreementandremovalofMultipleListeefromtherepo
rtattheexpense
oftheApplicant,andremovalofallrightsfo
rtheMultipleListeetousetheMarkorIntertekName.
(f) Notificationofregulatoryauthoritiesandthepublic;
(g) Compliancewithanyapplicablestatues,rules,orregulations.
7.2 Public Notice. In the event that In
tertek has confirmed evidence that the Product in the marketpl
ace has been
fraudulently labeled orcounterfeit marketing,Intertek willcontact the Applicant and actin support of remedial
stepstakenbytheApplicanttoaddressthelabelingsituation,including,ifnecessary,publicnotificationand/ora
product recall undertaken by the Applicant an
d/or Multi
ple Listee. In the event that the Applicant and/or the
Multiple Listee does not take action to address these errors, Intertek reserves the right to contact appropriate
government agencies, other parties in the supply chain and/or issue public notifications advising of the non‐
conformitypursuanttoArticle5.1(f)inth
eCertificationAgreementforApplicantsandManu fa
cturers.

8. ADMINISTRATIVEPROVISIONS
8.1 Confidentiality.WithoutwrittenauthorizationfromtheApplicant,Intertekwillnotvoluntarilydisclosetothird
parties (including the Multiple Listee) confidential and proprietary information with Applicant provides to
Intertek. Thisobligation shall not apply toinformation whichis already available tothe public, oracquired
fromothersourceswithoutconfidentialityrestrictions,orisrequiredtobedisclosedbyIntertektoRegulatory
Authorities responsible for the acceptance of
the Product. Intertek agrees that this obligation to maintain
confidentialityshallsurvivetheterminationoftheCertificationAgreementforApplicantsandManufacturers.
8.2 Subpoena.IfIntertekisservedwithaSubpoena,CourtOrder,orsimilardocumentrequestingthedisclosure
ofconfidentialorproprietaryinformationsuppliedtoIntertekbytheApplicant,Intertekshall
promptlynotify
theApplicant.IntheeventthattheApplicantchooses tocontest therequest, Intertekshall cooperatewith
theApplicant.TheresponsibilityforcontestingtherequestshallrestsolelywiththeApplicant.IftheApplicant
declines to conte
st the request or is not successful in contesting the request, Intertek will provide the
requested information. Any costs incurred by Intertek in responding to the request, including reasonable
attorney’sfees,shallbereimbursedbytheApplicantimmediatelyuponinvoicingbyIntertek.
8.3 Fees. AnnualMultiple Listeefees formaintaining theListing, andlicensing ofthe CertificationMark will be
billedtotheApplicantoradesignatedpayerinJanuaryforthesubsequentyear.Areportrevisionfeewillbe
chargedtotheApplicantforeachregisteredMultipleListeeaddedaftertheinitial reportisprepared.Report
revisionfeesandtheannualMultipleListeefeewillappearonseparateinvoices.Paymentshallbedueupon
presentation ofinvoices and theApplicant shallbe considered ind efault if thecharges arenot paid within
thirty(30)days.Intertekreservestheright toadjust thebillingratefortheMultipleListeeFeeandto issue
reasonable charges in the eve
nt additional costs are incurred by Intertek as a result of either the Multiple
Listee’sortheApplicant’sfailuretoadheretotheIntertekRequirements.Additionalcostsinclude,butarenot
limitedto,penaltyfeesformisuseofMarkandcostsassociatedwiththeproductinvestigation.MultipleListee
feesarenon‐refundable.
8.4 NoAssignment.TherightsrunningtotheApplicant andtheMultipleListeeunder
thisCertificationAgreement
may not be assigned to or acquired by any other person or corporation without Intertek’s written
authorization.
8.5 Terms.ThisMultipleListeeAgreementshallcontinueineffectforaperiodofone(1)yearfromthedatefirst
abovewrittenandshallautomaticallyberene
wedthereafterforperiodsofone(1)year,unlessthetermination
rightsprovidedforinthisMultipleListeeAgreementareexercised.
8.6 Jurisdiction.ThisMultipleListeeAgreementshallbeinterpretedinaccordancewithandgovernedbythelaws
ofthejurisdictionwithinwhichtheIntertekoffice
statedintheopeningparagraphislocated.IftheApplicant
islocatedinChina,anydispute orclaimarisingfromorinconnectionwiththisMultipleListeeAgreement,its
breach,itsperformanceornon‐performanceshallbesubmittedtotheChinaInternationalEconomicandTrade
ArbitrationCommission(“CIETAC”)BeijingOfficeforarbi
trationwhichshallbeconductedinaccordancewith
theCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitraltribunal shall
consistofthree(3)arbitrators.IntertekontheonepartandtheClientontheotherpartshalleachappoint
onearbitrator.Thepa
rtiesshallappointthethirdarbitrator.Ifthepartiesfailtoagreeonthethirdarbitrator
withinfifteen(15)daysfromthedateonwhichtherespondentreceivesthenoticeofarbitration,theparties
herebydesignatetheChairmanofCIETACastheappointingauthorityhereunderprovidedthattheChairman
shall
selectanarbitratorwhosatisfiesthequalificationsintheprecedingsentence.Thelanguagetobeusedin
thearbitralproceedingsshallbeChineseandEnglish.Eachversionshallhavetheequalvalidityandlegaleffect.

9. FAILURETOCOMPLYWITHINTERTEKREQUIREMENTS
9.1 AuthorityandPermission.TheApplicantwarrantsthatithastheauthorityandpermissionfromtheMultiple
ListeetoplacethisMultipleListeeinthelistingreportanddirectory.TheapplicantacknowledgesthatIntertek
mayprovidenotificationtotheMultipleListeeofchangesaffectingtheproductlistingintheDirectory.Intertek
mayconfirmthisMultipleListeeRegistrationinformationwiththeMultipleListee.
